Profile

As our Corporate Team grows, we are looking to expand.  Our Team advises clients in a range of sectors including, in particular, information technology and telecommunications, healthcare, life sciences, manufacturing and professional services.  Our Corporate Team principally works in the following areas:

  1. Mergers and Acquisitions
  2. Investments and Shareholders Agreements
  3. Corporate Re-Organisations
  4. Commercial Contracts
  5. Corporate Governance and Compliance
  6. Technology and Intellectual Property
  7. Data Protection

The role will principally involve:

  • Lead roles in M&A transactions, to include managing due diligence process, drafting and negotiating transaction documents in consultation with other team members and advisors, drafting ancillary documents and attending to completion.
  • Drafting and advising on investment documents for equity fundraisings and shareholders agreements, in each case in consultation with other team members where appropriate.
  • Providing corporate support on substantial commercial property transactions in conjunction with the Firm’s Real Estate and Banking Teams.
  • Advising on company law matters and drafting documents for corporate re-organisations.
  • Drafting and advising on commercial contracts to include consultancy agreements, service level agreements, franchise agreements, distribution agreements and software/IP licences.
  • Contributing to the Team’s client resources (website articles, legal updates) and knowledge management (research, precedents).
  • Members of our Team are encouraged to actively participate in marketing and business development and ongoing knowledge and professional development is keenly supported.

We will ideally look for experience in some or all of the following

  • Senior Associate working in Corporate & Commercial with 4+ PQE
  • Ambitious to achieve partnership
  • Takes responsibility for personal and firm development
  • Works well in a team and ability to delegate, work with and develop team members where appropriate
  • Develops client relationships, good personality and demonstrates ability to engage with and develop new clients
  • Must have good deal history experience
  • Brings energy to the firm/role
  • Good technical ability
  • Experience in M&A and Private Equity Deals preferably
  • Ability to support colleagues from other related practice areas where there is overlap with corporate & commercial matters
